What the templates are, and are not
The templates are commercial record-keeping and calculation tools. They are not legal, accounting or professional advice, and outputs depend entirely on the figures, dates and contract terms you enter. Contractual notices, payment applications and claims remain your responsibility, including checking them against your own contract before you rely on or serve them. A template does not replace advice from a solicitor, accountant or your own professional adviser on a specific matter.
Accuracy and currency of content
Every effort is made to keep formulas, statutory rates and reference timescales (for example, the Late Payment of Commercial Debts Act rate and fixed compensation, and the notice periods built into the Payment Timeline and Notice templates) correct and up to date at the time of publication. Legislation, standard forms and market practice change, and a template purchased on one date is not automatically updated when the law changes after that date. Before you rely on any figure, date or notice a template produces, check it against your own contract and the legislation or standard form currently in force. We do not warrant that any statutory rate, timescale or clause reflects the law at the date you use it.
Liability
To the extent permitted by law, our total liability to you for any claim arising from a purchase is limited to the amount you paid for that product. This applies to claims arising from an error, omission or out-of-date figure in a template, as much as to any other claim. We are not liable for indirect or consequential loss, including loss of profit, loss of a contractual right, or loss arising from figures, dates or notices you entered, checked or served using a template. Nothing in these terms excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction over any dispute. This does not remove any right you have to bring a claim in the courts of the country where you live.
